· Carried out due diligence and negotiated acquisition of equipment leasing company by its larger competitor. In addition to the more routine review of fiscal health accompanying the purchase this transaction required review of complex licensing issues as each company was operating under geographical limitations imposed by the same third party owner of the intellectual property which lay at the heart of their business model.
· Acted as liquidator of e-book publishing corporation with multinational publishing contracts, intellectual property, assets located in numerous countries, and multiple creditors with claims of various types.
· Represented Israeli provider of specialized employees in England, Australia, the United States and elsewhere. Our firm handled complex immigration and labor issues as well as the unique concerns that arise in the context of international commercial transactions.
· Carried out due diligence in connection with investment in corporation with exclusive advertisement relationship with Russia’s largest oil company.
· Negotiated commission agreements and commodities contracts for sale of bulk cement and oil internationally.
· Enforcing California judgment in amount of $10MM against native Canadian tribe in relation to assets held in New York.
· Won $400,000 judgment on appeal representing land developer on question of whether waiver of unenforceable claim constitutes valid contractual “consideration” under settlement agreement. See decision here;
· Represent New York City real estate developer in multimillion dollar litigation seeking realization of profits due under a joint venture agreement;
· Successfully defended purchaser of real property against claim of fraudulent conveyance raised by alleged third party creditor;
· Won significant settlement for homeowner in claim of professional malpractice against architect who self certified building plans in violation of zoning regulations;
· Successfully defeated Plaintiff's demand for a preliminary injunction which sought to suspend client's operation of business which he was in process of purchasing under management agreement with option to buy;
· Successfully represented Russian Consulate in commercial dispute with State of New York and obtained relief sought.
· Negotiated agreement for exclusive distribution of digitization technology;
· Negotiated establishment of privately managed division within one of New York City’s largest real estate brokerage firms;
· Successfully sued and recieved trial verdict against large Israeli security firm for sexual discrimination in its refusal to hire our client;
· Successfully settled litigation with Israeli quasi governmental agency for sexual discrimination upon its firing of our client when she became pregnant;
· Successfully settled dispute with large private international entity in connection with the sexual harassment of our client while she was employed there;
· Successfully settled dispute with New York architecture firm in connection with the sexual harassment of our client while employed there.
